These Terms & Conditions (the "Terms") govern your access to and use of vygroup.net and any related services we operate (collectively, the "Site"), and any preliminary discussions you have with us before a formal engagement begins. Please read them carefully.

Where you have signed an engagement letter, statement of work, or master services agreement with us, that signed agreement controls in any conflict with these Terms for the matters it covers.

Acceptance of these terms

By accessing the Site, submitting a form, or otherwise interacting with us, you agree to these Terms. If you do not agree, please do not use the Site. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Use of this site

You agree to use the Site lawfully and in good faith. In particular, you will not:

Advisory engagements

Vy Group, LLC ("Vy Group") provides advisory services in technology, strategy, and marketing & design. No advisory relationship is formed by use of this Site. An engagement begins only when both parties have signed an engagement letter or statement of work that describes the scope, deliverables, fees, and timeline.

Information on the Site is general in nature and is not intended as — and should not be relied upon as — legal, tax, accounting, investment, or other professional advice for any specific situation.

Fees & payment

Fees, expenses, and payment terms for an engagement are governed by the relevant engagement letter or statement of work. Unless otherwise stated:

SMS & text messaging

Where you have given us a mobile number, we may send text messages (SMS/MMS) for operational and engagement purposes only — for example, confirming a meeting, sharing a logistical update during an active engagement, or following up on a specific inquiry you initiated.

Confidentiality

Both parties commit to protecting non-public information shared during an engagement. Each party will use the other's confidential information only to perform the engagement, will not disclose it except to people with a need to know who are bound by similar duties, and will protect it with the same care it uses for its own confidential information (and no less than reasonable care). These obligations continue for five (5) years after the engagement ends, and indefinitely for trade secrets.

Confidential information does not include information that is or becomes publicly available without breach, was already known to the receiving party, is independently developed, or is required to be disclosed by law (in which case the receiving party will give reasonable notice where permitted).

Intellectual property

Our materials

The Site, including its text, graphics, logos, layouts, and code, is owned by Vy Group or its licensors and is protected by copyright, trademark, and other laws. "Vy," "Vy Group," and our visual identity are trademarks of Vy Group, LLC. You may view and share linked Site pages for non-commercial reference; any other reuse requires written permission.

Engagement deliverables

Subject to full payment of fees, deliverables we create specifically for a client under a signed engagement are licensed or assigned to the client as set out in the engagement letter. We retain ownership of: (a) any pre-existing materials, methodologies, frameworks, templates, or know-how we used to create the deliverables; and (b) generalized learnings and residual knowledge, which we may use in other engagements without restriction, provided we do not disclose client confidential information.

Feedback

If you send us suggestions or feedback about our work or the Site, you grant us a non-exclusive, perpetual, royalty-free license to use it without obligation.

Third-party content & links

The Site may contain links to, or content from, third parties. We provide these for convenience and do not endorse or assume responsibility for them. Your use of any third-party services is governed by their own terms.

Disclaimers

The site and its content are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. Vy Group disclaims all implied warranties — including merchantability, fitness for a particular purpose, non-infringement, and accuracy — to the maximum extent permitted by law. We do not warrant that the site will be uninterrupted, error-free, or secure, or that any information will produce a particular result.

Limitation of liability

To the fullest extent permitted by law, Vy Group will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages. Vy Group's total liability arising out of or relating to the site or these Terms will not exceed one hundred U.S. dollars ($100).

For damages arising out of a signed engagement, the limitation in the relevant engagement letter controls. Nothing in these Terms limits liability that cannot be limited under applicable law (including liability for fraud, gross negligence, willful misconduct, or bodily injury).

Indemnification

You agree to defend, indemnify, and hold harmless Vy Group and its officers, employees, and contractors from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of: (a) your breach of these Terms; (b) your misuse of the Site; or (c) your violation of any law or third-party right.

Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections that by their nature should survive termination — including Confidentiality, Intellectual property, Disclaimers, Limitation of liability, Indemnification, and Governing law & disputes — will survive.

Governing law & disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws principles. The parties will first attempt to resolve any dispute informally by good-faith discussion. If that fails, any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and the parties consent to personal jurisdiction in those courts.

Each party waives any right to a jury trial to the extent permitted by law. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect its confidential information or intellectual property.

Changes to these terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. If a change is material, we will post a notice on this page or notify clients with active engagements. Continued use of the Site after a change takes effect constitutes acceptance of the revised Terms.
